Please read these Inspirato Text Messaging Terms & Conditions (“SMS T&Cs”) carefully, including the binding Arbitration provision that requires most disputes to be arbitrated. By creating an Inspirato account, submitting your personal information including phone number, or otherwise agreeing to receive text messages from or on behalf of Inspirato, LLC or any of its parents or affiliates (collectively “Inspirato”), you agree to be bound by these SMS T&Cs, Inspirato’s Privacy Policy, Inspirato’s Terms and Conditions and any other applicable terms.

By joining or traveling with Inspirato or otherwise opting in to receive text messages or other materials from Inspirato, you expressly consent to receive marketing and/or other non-marketing text messages, including informational messages, notifications, travel planning and other communications, from Inspirato and all others texting on Inspirato’s behalf,  including but not limited to its partners, contractors or other providers (collectively, “Providers”) providing services on Inspirato’s behalf, including text messages which may utilize automated or autodialer systems or other types of systems, software, hardware, or machines that may be use an automated procedure or process for sending messages to a telephone number associated with your opt-in or your account.

You may opt-out of these communications at any time, and your consent to receive marketing text messages is not required and is not a condition to use to purchase any goods or services.  Message and data rates may apply to text messages and you are fully responsible for any such costs related to receipt of text messages. You must be at least 18 years old or the age of majority in your jurisdiction to receive text messages from Inspirato.

Mobile information will not be shared or sold with or to third parties for marketing or promotional purposes.

OPT IN

By opting in, you affirmatively consent to receive recurring marketing and informational text messages from Inspirato at the number you provided, using automated technology.

Consent is not required as a condition of purchase.
 

OPT OUT
Text STOP or UNSUBSCRIBE in response to any text messages we sent to opt-out of receiving text messages. You acknowledge that our text message platform may not recognize or respond to unsubscribe requests that do not use the STOP or UNSUBSCRIBE keyword commands and agree that Inspirato and its Providers shall have no liability for failing to honor such requests. You may be subscribed to multiple programs across different phone numbers, and therefore you must text or reply STOP or UNSUBSCRIBE to each phone number that you wish to unsubscribe from. You may receive an additional mobile message confirming your decision to opt out.

MESSAGE FREQUENCY

Message frequency will vary. Inspirato reserves the right to alter the frequency of messages sent at any time, so as to increase or decrease the total number of sent text messages. Inspirato also reserves the right to change the phone number(s) from which messages are sent and we may notify you if we do so.

ACCESS OR DELIVERY TO NETWORK NOT GUARANTEED

Not all mobile devices or handsets may be supported and our messages may not be deliverable in all areas. Inspirato, its service providers and mobile carriers are not liable for delayed or undelivered messages.

 

ARBITRATION; GOVERNING LAW

YOU AND WE AGREE THAT ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF, OR RELATING TO, THESE SMS T&CS AND/OR YOUR USE OF THE SERVICES, INCLUDING WITHOUT LIMITATION THE MESSAGING SERVICES, SITES OR APPS, ANY PRODUCTS OR SERVICES SOLD OR DISTRIBUTED BY OR THROUGH THE SITES OR APPS, OR CONTENT (A "DISPUTE" AS DEFINED BELOW) SHALL BE RESOLVED ONLY BY FINAL AND BINDING, BILATERAL ARBITRATION.

 

Any disputes arising from or relating to these SMS T&Cs or text message communications sent by or on behalf of Inspirato shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association. By agreeing to receive text messages, users waive their right to bring claims in a court of law or to participate in class actions, unless otherwise prohibited by law.

 

These SMS T&Cs shall be governed by the laws of the State of Colorado, without reference to the conflict of laws principles.

 

You and we agree that each party will provide written notice to the other party at least thirty (30) days prior to initiating an arbitration proceeding, so that the parties can attempt in good faith to resolve the dispute informally. Any notices sent to Inspirato shall be sent by certified mail or courier, and a copy via email to:

MISCELLANEOUS

You warrant and represent to us that you have all necessary rights, power, and authority to agree to these SMS T&Cs and perform your obligations hereunder, and nothing contained in these SMS T&Cs or in the performance of such obligations will place you in breach of any other contract or obligation. The failure of either party to exercise in any respect any right provided for herein will not be deemed a waiver of any further rights hereunder. If any provision of these SMS T&Cs is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these SMS T&Cs will otherwise remain in full force and effect and enforceable. Any new features, changes, updates or improvements to Inspirato’s text messaging systems, apps, website or other systems shall be subject to these SMS T&Cs unless explicitly stated otherwise in writing.

We reserve the right to change these SMS T&Cs from time to time.

ANY CHANGES OR MODIFICATIONS TO THESE SMS T&CS WILL BE EFFECTIVE UPON POSTING OF THE REVISIONS. THE UPDATED SMS T&CS WILL REPLACE THE PRIOR VERSION AND ARE APPLICABLE TO ANY FUTURE DISPUTES BETWEEN THE PARTIES, REGARDLESS OF WHEN THE DISPUTED INTERACTIONS AROSE.
